Runs fine when it's cold but as soon as the car starts to warm up a ticking sound starts and gets louder and faster as the car overheats then shuts off. There is a loss in horsepower as well, doesn't want to go. I checked the thermostat, pulled the oil pan off checked rods and pistons.

How long does it take to overheat? Have you tried pulling the accessory belt off to see if the tick is related to something it drives? Like the water pump? I would try that, if the tick is still there use a mechanics stethoscope to listen to points around the engine and see if you can pinpoint the area. When was the oil last changed? Would be a good idea to find that first. Don't want to put a lot of money into an engine that needs major repairs.
