Dealer advised the balance shaft has worn outand the timing is off. Has advised okay for now but could cause engine failure. $6,600 to fix - take engine out, fix problem, put engine back in. Thoughts? Should I have dealer repair? Or get second opinion and have serviced elsewhere. I purchased from dealer and
have had all maintenance done by same dealer.

The balance shaft problems is fairly common on the Mercedes (depending on VIN #). Anyway, since you car is still under warranty (with just under 40k) I would insist that they repair it immediately (at no cost to you). Otherwise if you wait there is a possibility that you'll drive enough to where the warranty will not be effect. Check with them to be sure your warranty is more then 40K miles.
Also, could you please post the code that the computer has; if the Check engine Light is on.
