1996 Honda Accord Transmission Codes / vehicle not engaging

I have recently got to OBD codes: P0740 and P0715. My car makes a grinding noise when I turn left like a CV issue. However, I just had both CV axles replaces. It take a long time to shift out of 1st gear during excel. Most recently, it stopped engaging in 1st gear and appears to rev toward the red line. Can I just replace the TCC, speed sensor, and flush the tran. to eliminate the problem or do I invest 3k in a new trans? I know it has a lot of miles, but I love my accord.
