ERRATIC TRANNY SHIFTING INTO OVERDRIVE

The tranny shifts erratically for overdrive. When accelerating to slow speeds (35-50 mph), the trans will shift into high gear without problems. The problem is the tranny attempts to shift into overdrive even at 30-40 mph. When it does this, it's a shudder and does it over and over untill you get over 45 mph.
Fluid and filter has been changed twice since new. Last was around 110000 miles. No metal or shavings found. This has been happening since about 80000 miles. It has not gotten worse or better.
I have been told its a weak torque converter. I have also been told its a fluid pressure solenoid inside the tranny that controls the overdrive shift

Have a trans guy look at it he can scan it as well give a better diagnosis than us.
